1.Acceptance of terms
These Terms of Use ("Terms") govern your access to and use of the Gigdesk website, application, and APIs (the
"Service"), operated by Gigdesk, Inc., a Delaware
corporation ("Gigdesk", "we", "us"). By accessing or using the Service, or by accepting an invite, you agree to be
bound by these Terms and by our Privacy Policy. If you do not agree, do not use the
Service.
2.Eligibility & invites
You must be at least 18 years old and able to form a binding contract. Gigdesk is currently invite-only:
access requires a valid invite or join code. Invites are personal to you; do not resell or transfer them, and do
not attempt to access the Service without a valid invitation.
3.Your account
You are responsible for the activity under your account and for keeping your login credentials, API keys, and
access tokens secure. Provide accurate information and keep it current. Notify us promptly of any unauthorized use.
You may connect third-party accounts (such as Gmail) that you own or are authorized to use.
4.The Service
Gigdesk provides tools for freelancers and the clients who work with them, including:
- Workspaces — a home for mailboxes, AI agents, bookmarks, and activity logstreams.
- AI agents — webhook chatbots you configure with your own prompt and AI provider.
- Portfolios — custom landing pages you publish, optionally on your own domain.
- Secretary — an optional assistant for your own connected email inbox.
- Task queues & marketplace — gig distribution, review, and payouts powered by Dollar Platoon.
We may add, change, or remove features, and we may impose reasonable usage limits to keep the Service stable and
secure. Features described in guides or marketing may evolve.
5.Third-party services
The Service integrates with third parties, including Google (Gmail), Dollar Platoon (gig marketplace
and on-chain payouts), and AI model providers you select. Your use of those services is subject to their own
terms and policies, and — for anything you do through them — is between you and that provider. When you connect
Google services, you also agree to comply with Google's applicable terms, and our handling of Google data follows
our Privacy Policy. We are not responsible for third-party services and do
not guarantee their availability.
6.Acceptable use
You agree not to, and not to help others:
- break the law, infringe others' rights, or violate any third-party service's terms (including Google's and any anti-spam or bulk-messaging rules of the services you connect);
- send unsolicited, deceptive, or unlawful messages through any connected account, or use the Service to harass, defraud, or harm others;
- upload malware, attempt to breach or probe our security, or circumvent access controls, rate limits, or authentication;
- scrape, reverse engineer, or misuse the Service or its APIs beyond what these Terms and our documentation permit;
- impersonate any person or misrepresent your affiliation; or
- use the Service to build a competing product from our confidential information.
You are solely responsible for your use of any connected email account and for complying with all laws that apply to your communications.
7.Your content
You retain ownership of the content you create, upload, or connect ("Your Content"), including briefs, portfolios,
prompts, and messages. You grant Gigdesk a limited, worldwide, non-exclusive license to host, process, and display
Your Content solely to operate and provide the Service to you and the people you collaborate with. You are
responsible for Your Content and for having the rights to use it. Data you access through Google APIs is handled
per our Privacy Policy and is never used to train generalized AI models.
8.Payments & payouts
Gig funding, reviews, and payouts in the marketplace are handled through Dollar Platoon, including on-chain
settlement in USDC. Those transactions are subject to Dollar Platoon's terms; blockchain transactions are generally
irreversible, and Gigdesk does not act as an escrow agent, bank, money transmitter, or dispute-resolution service.
Any fees for paid Gigdesk features will be disclosed to you before you incur them. You are responsible for your own
taxes.
9.Intellectual property
The Service, including its software, design, and the Gigdesk name and logo, is owned by Gigdesk and protected by
intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service per these
Terms. All rights not expressly granted are reserved. Feedback you send us may be used without obligation to you.
10.Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied,
including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the
Service will be uninterrupted, error-free, or secure, or that AI-generated output (including anything drafted by an
agent or the secretary) will be accurate or appropriate. You are responsible for reviewing outputs before you rely
on or send them.
11.Limitation of liability
To the maximum extent permitted by law, Gigdesk and its officers, employees, and suppliers will not be liable for
any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or
goodwill, arising from or related to your use of the Service. Our total liability for any claim will not exceed the
greater of the amounts you paid us for the Service in the 12 months before the claim, or US $100. Some
jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12.Indemnification
You agree to indemnify and hold harmless Gigdesk from claims, damages, and expenses (including reasonable legal
fees) arising from Your Content, your use of the Service, your use of connected accounts, or your violation of these
Terms or the rights of others.
13.Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you
violate these Terms, if required by law, or to protect the Service or its users. On termination, the licenses you
granted end (except as needed for backups, legal compliance, or ongoing collaboration you authorized), and sections
that by their nature should survive — including ownership, disclaimers, liability limits, and indemnity — will
survive.
14.Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to
its conflict-of-laws rules. You agree that the state and federal courts located in
Delaware will have exclusive jurisdiction over any dispute not subject to other
agreed dispute-resolution terms, and you consent to venue there.
15.Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date
and, where appropriate, provide notice. Your continued use of the Service after changes take effect means you accept
the revised Terms.
